Terms of Service

These Terms of Service ("Terms") govern your access to and use of Portaim (the "Service"). The Service is operated by Portaim ("Portaim", "we", "us", "our"). By creating an account, connecting a Shopify store, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
If you are using the Service on behalf of a business or other organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to both you and that organization.
1) The Service
Portaim is a product-import tool that lets you upload CSV/XLSX files, map columns, validate and fix product data, and export Shopify-ready files and/or send product data to Shopify through an integration. The Service is provided through a web application.
2) Accounts and Eligibility
- You must be at least 18 years old to create an account.
- Current beta: one account is intended for one user managing one organization/workspace. Team/multi-user features may be offered later.
- You are responsible for all activity under your account and for keeping your login credentials secure.
- You must provide accurate information and keep it up to date.
3) Beta Program (Free)
Portaim is currently offered as a beta release.
During beta:
- The Service is provided free of charge.
- Usage limits may apply. Current beta limits may include up to 10 imports per month and 1,500 rows per month, and may be changed from time to time.
- Features, limits, and functionality may change, be suspended, or be removed at any time.
- The Service is provided "as is" and "as available" without guarantees of uptime, availability, or results.
After beta:
- We may introduce paid plans, including through Shopify Billing or other methods.
- If we introduce paid plans, you will not be charged without your explicit consent (for example, by accepting a plan in-app and providing required billing authorization).
- Pricing, taxes, and billing terms (if and when applicable) will be presented to you before you subscribe.
4) Your Content and Data
"Customer Content" means the files and data you upload to the Service and the outputs generated from them.
- Ownership: You retain ownership of your Customer Content.
- License to operate: You grant us a limited, non-exclusive license to host, process, transform, and store Customer Content solely to provide, maintain, and improve the Service, and to meet security, legal, and compliance obligations.
- Rights and permissions: You must have the legal right to upload and process Customer Content. Do not upload content you do not have permission to use.
- No sale of data: We do not sell your Customer Content.
5) Data Deletion and Retention
- You may delete your account from the Settings page (if available) or by contacting us.
- When you delete your account, we will delete or de-identify your Customer Content within a reasonable time, typically within 30 days.
- We may retain limited records where necessary for legal, security, fraud prevention, accounting, enforcement, or compliance purposes. This may include audit logs and minimal account/transaction metadata (if applicable in the future).
6) AI Features and Third-Party Processing
Portaim may use third-party AI services to support features such as automatic column mapping, validation assistance, and value suggestions.
By using AI features:
- You acknowledge that portions of your Customer Content may be transmitted to and processed by our AI service providers to deliver those features.
- AI outputs may be inaccurate or incomplete. You are responsible for reviewing and verifying any suggestions and outputs before using them (including before importing into Shopify).
We do not permit our AI providers to use Customer Content to train their models by default, unless you (or we) explicitly opt in to such training where the provider offers an opt-in mechanism.
Third-party terms may apply to the services provided by these providers.
7) Shopify Integration
If you connect a Shopify store:
- You authorize Portaim to access your Shopify store data and perform actions within the access scopes you approve during installation/connection.
- You can revoke access by disconnecting the store in Portaim and/or uninstalling the app or revoking access in your Shopify admin.
- You are responsible for reviewing changes before they are applied to your Shopify store (including product creation/updates, inventory, and file uploads), and for compliance with Shopify's terms and policies.
8) Acceptable Use
You agree not to:
- Use the Service for any illegal purpose or to upload unlawful, infringing, or prohibited content.
- Upload malware, attempt unauthorized access, or interfere with the Service's security or operation.
- Reverse engineer, decompile, or attempt to extract source code or underlying models (except where prohibited by law).
- Abuse, disrupt, overload, or interfere with the Service or its infrastructure (including via bots/scrapers) without our permission.
- Create multiple accounts to circumvent limits, enforcement actions, or bans.
We may suspend or restrict access if we reasonably believe your use violates these Terms or poses risk to the Service or others.
9) Intellectual Property
The Service, including its software, design, branding, and all related intellectual property, is owned by Portaim and its licensors. These Terms grant you a limited, non-exclusive, non-transferable right to access and use the Service for your internal business purposes, subject to these Terms.
If you provide feedback or suggestions, you grant us the right to use them without restriction or obligation.
10) Warranty Disclaimer
To the fullest extent permitted by law, the Service is provided "as is" and "as available." We make no warranties (express or implied), including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or availability.
Without limiting the above:
- We do not guarantee that the Service will be uninterrupted or error-free.
- We do not guarantee that outputs (including AI suggestions or exported files) will be correct or accepted by Shopify.
- Shopify APIs and platform behavior may change, and third-party outages may impact the Service.
11) Limitation of Liability
To the fullest extent permitted by law:
- We are not liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, goodwill, or data, arising out of or related to your use of the Service.
- Our total liability for all claims arising out of or related to the Service will not exceed the amount you paid us in the 12 months preceding the event giving rise to the claim. During beta, this amount is expected to be zero.
Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
12) Indemnification
You agree to defend, indemnify, and hold harmless Portaim from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:
- your Customer Content (including claims that it infringes third-party rights), or
- your misuse of the Service, or
- your violation of these Terms or applicable law.
13) Termination
- You may stop using the Service at any time. You may delete your account as described above.
- We may suspend or terminate your account if you violate these Terms, abuse the Service, or engage in activity that harms other users or the platform.
- Upon termination, your right to use the Service stops immediately. Sections that by their nature should survive termination (including IP, disclaimers, limitation of liability, indemnification, and governing law) will survive.
14) Shopify Disclaimer
Portaim is an independent software solution and is not affiliated with, endorsed by, or sponsored by Shopify Inc. "Shopify" is a registered trademark of Shopify Inc.
15) Changes to These Terms
We may update these Terms from time to time. The "Last updated" date will reflect the most recent changes. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms. For material changes, we will make reasonable efforts to notify you via email or an in-app notice. If you do not agree to updated Terms, you must stop using the Service.
16) Governing Law and Venue
These Terms are governed by the laws of the Czech Republic, without regard to conflict-of-law principles. Any disputes arising out of or related to these Terms or the Service will be resolved by the competent courts located in the Czech Republic, unless mandatory consumer protection laws in your country of residence require otherwise.
